3B Films Limited reported audited FY2026 results showing revenue of Rs 85.31 Cr (up 42% from Rs 60.01 Cr), but profit after tax dropped significantly to Rs 2.75 Cr from Rs 5.05 Cr in FY2025. The company announced acquisition of 3B Flexipacks Private Limited (99.99% stake) for Rs 26.03 Cr via share swap, which will make it a wholly-owned subsidiary. Ms. Mital Dipen Devani resigned as Independent Director citing personal commitments. The board also approved increasing authorised share capital from Rs 25 Cr to Rs 27 Cr, converting unsecured loans into equity shares (up to 1.34 Cr shares at Rs 20.39), expanding into agro/food products business, and setting up a wholly-owned subsidiary in UAE. An EGM is scheduled for June 27, 2026 for shareholder approvals.
Revenue growth is strong but profitability has declined sharply, which may concern investors. The acquisition and UAE expansion signal strategic diversification into packaging and food products. Shareholders face dilution from share issuance and loan conversions, and will need to vote at the EGM.
