3M India held its 38th AGM on August 26, 2025 via video conferencing, with 57 members attending. Seven resolutions were passed, including adoption of FY25 financials, a total dividend of Rs. 535 per share (Rs. 160 final + Rs. 375 special), re-appointment of Ms. Kong Sau Wai Elizabeth, and approval of material related party transactions and royalty payments to parent 3M Company USA. For FY25, the company posted revenue of Rs. 4,446 crores (up 6.1% YoY), while profit after tax declined 1% to Rs. 575 crores (margin 12.7%) due to a one-time tax settlement under the Vivad Se Vishwas scheme and higher sales and marketing investments. Q1 FY26 showed a strong rebound with revenue up 14.3% YoY to Rs. 1,196 crores and PBT up 13.5% to Rs. 239 crores. Healthcare led segment growth at 13.7%, followed by Consumer at 8.6%, Safety & Industrial at 6%, and Transportation & Electronics at 1.6%.
The generous Rs. 535 per share dividend (including a special dividend of Rs. 375) signals strong cash generation and shareholder returns. The 14.3% revenue growth in Q1 FY26, a clear acceleration from FY25's 6.1%, suggests the company's market expansion investments are paying off. Approval of royalty and related party transactions with parent 3M USA is routine but worth monitoring for margin impact.
