Sir Shadi Lal Enterprises Ltd (SSEL) has been amalgamated into Triveni Engineering and Industries Ltd (TEIL) effective May 19, 2026, with appointed date April 1, 2025. SSEL stands dissolved without winding up. The scheme has received all necessary approvals under Sections 230-232 of the Companies Act, 2013. June 3, 2026 has been fixed as the record date to determine SSEL shareholders eligible to receive TEIL shares. Under the share exchange ratio, for every 137 equity shares of SSEL (face value INR 10), shareholders will receive 100 equity shares of TEIL (face value INR 1). SSEL's financial results for FY 2026 will be subsumed into TEIL's standalone financial results.
SSEL shareholders will receive TEIL shares in the ratio of approximately 0.73 TEIL shares per SSEL share held. SSEL as a listed entity ceases to exist post this amalgamation.
