A-1 Limited concluded its postal ballot process on 21st December 2025, with all five resolutions passed by shareholders with 100% votes in favour. The resolutions included: (1) increase in authorised share capital and alteration to the capital clause of the MOA (8,140,909 shares in favour by 38 members), (2) issue of bonus shares (8,140,909 shares in favour by 38 members), (3) sub-division of every 1 equity share of Rs. 10 face value into 10 equity shares of Rs. 1 face value, effectively a 10:1 stock split (8,140,909 shares in favour by 38 members), (4) alteration of the object clause of the MOA (8,140,523 shares in favour by 36 members), and (5) approval to make investments in M/s A-1 Sureja Industries partnership firm (87,808 shares by 30 non-promoter members, as promoter group votes of 8,053,101 shares were treated as invalid). E-voting was conducted via NSDL between 22nd November and 21st December 2025, and the scrutinizer Dhara Panara certified the process as fair and transparent.
Shareholders stand to benefit from both a bonus issue and a 10:1 stock split, which together could meaningfully increase share liquidity and make the stock more accessible to retail investors. The unanimous approval across all resolutions reflects strong shareholder confidence in the management's capital restructuring plans and the proposed partnership investment.
