Adani Enterprises reported strong consolidated FY25 results with total income of ₹1,00,365 crore (up ~2% YoY) and profit after tax of ₹8,005 crore, more than doubling from ₹3,335 crore last year, boosted by a ₹3,946 crore exceptional gain from selling a 13.51% stake in AWL Agri Business. Q4 standalone PAT came in at ₹4,015 crore. The board recommended a dividend of ₹1.30 per share (130%) with a record date of June 13, 2025. The board also approved a plan to raise up to ₹15,000 crore through equity shares or other securities via QIP, private placement, or preferential issue, subject to shareholder approval. Dr. Omkar Goswami was re-appointed as Independent Director for a second 3-year term from November 2, 2025. The statutory auditor issued a modified opinion on consolidated results due to ongoing investigations at Mumbai International Airport Limited (MIAL) involving alleged fund misuse of ₹845.76 crore.
Profit more than doubled YoY on the back of the AWL stake sale, supporting the dividend announcement. However, the ₹15,000 crore fund-raising plan could lead to equity dilution, and the auditor's qualified opinion on MIAL remains an unresolved governance overhang. The 33rd AGM is scheduled for June 24, 2025.
