Adani Enterprises' wholly owned subsidiary Adani Defence Systems & Technologies Ltd (ADSTL) has completed the acquisition of an additional 14.2% stake in Air Works India (Engineering) Pvt. Ltd from Punj Lloyd Aviation Ltd. This takes ADSTL's holding in Air Works from 85.76% to 99.98%, making it a near-wholly owned subsidiary. The deal was done in cash at an enterprise value of Rs. 400 crore (subject to closing adjustments). Air Works, founded in 1951, is India's largest privately-owned aircraft MRO (maintenance, repair and overhaul) company with FY24-25 turnover of Rs. 571 crore, up from Rs. 356 crore in FY23-24. The acquisition is part of Adani's plan to deepen its presence in the aviation services and MRO industry. The transaction is not a related-party deal for the listed entity.
