Adani Power submitted the voting results and Scrutinizer's Report for its 29th AGM held on June 25, 2025 via video conferencing. All 16 resolutions were passed with the requisite majority, including adoption of audited financial statements for FY25 (99.91% in favour) and confirmation of a 0.01% dividend totalling Rs. 4.16 lakh on Compulsorily Redeemable Preference Shares. Shareholders approved the re-appointment of Mr. Rajesh S. Adani (99.24%), appointment of new auditors, and several material related-party transactions with group entities like Powerpulse Trading Solutions, Mahan Energen, Adani Electricity Mumbai, Adani Energy Solutions, and Adani Infra (India), all passing with over 99% support (excluding promoter votes). Two independent directors — Mr. Manmohan Srivastava and Mr. Shailesh Haribhakti — were appointed for three-year terms as special resolutions, and Mr. Shersingh Khyalia was appointed as a Director and Whole-time Director & CEO for three years, with 99.95% and 97.24% approval respectively. Promoter holding stood at 2,891,125,367 shares, and about 93.2% of equity shareholders participated in the voting.
The clean passage of all resolutions, including key RPTs and leadership changes, signals strong promoter and institutional support, with no governance shocks for the stock. The CEO appointment and group-level RPT clearances could facilitate smoother business operations within the Adani ecosystem, while the preference-share dividend is too small to materially affect equity investors.
