Amphenol Corporation (NYSE: APH), a large US-listed manufacturer of connectors and interconnect systems, has triggered an open offer to buy up to 11,96,000 shares (26% of voting capital) of ADC India Communications from public shareholders at INR 1,233.59 per share, implying a total payout of about INR 147.54 crore if fully tendered. The open offer follows Amphenol's January 9, 2026 completion of acquiring 100% of CommScope Technologies LLC (CST) and its subsidiary CommScope Connectivity LLC (CSC), which together hold 72.02% of ADC India as promoter entities, giving Amphenol indirect control. ADC India is a Bangalore-based telecom and data networking connectivity solutions company with FY25 revenue of INR 190.91 crore and net income of INR 24.46 crore. Kotak Mahindra Capital is the manager to the offer, and Amphenol has placed INR 150 crore in escrow and stated no intention to delist the company.
Public shareholders get a cash exit opportunity at INR 1,233.59 per share with no minimum acceptance condition; the stock will likely trade around the offer price given Amphenol's existing 72% control, and the listing is expected to continue post-offer.
