ADF Foods' Board has approved downstreaming up to USD 1 million into its step-down US subsidiary ADF Foods USA Limited (as additional equity) and up to USD 1.5 million into Vibrant Foods New Jersey LLC (as partners' contribution), to be deployed in one or more tranches. Additionally, a USD 0.5 million loan owed by Vibrant Foods NJ LLC to ADF Holdings (USA) Limited will be converted into partners' contribution. This is a follow-through of the earlier USD 2.5 million investment approved on 14th February 2025 in ADF Foods UK Limited and ADF Holdings (USA) Limited. The funds will be used to meet working capital needs. Both target entities are 100% owned step-down subsidiaries engaged in food distribution in the US, with Vibrant Foods NJ LLC being the larger of the two at Rs. 49.5 crore turnover in FY25.
This is an internal capital infusion into the company's existing wholly owned overseas subsidiaries to support US operations and working capital, not a new acquisition. Minimal direct impact on the listed stock; the funds had been earmarked earlier, and shareholders are essentially seeing deployment of already-approved capital within the group structure.
