ADF Foods Limited's board has approved investing up to Rs. 10 crore in its wholly owned subsidiary, Telluric Foods (India) Limited (TFIL), through Optionally Convertible Redeemable Preference Shares. This is a cash investment in one or more tranches. The funds will be further downstreamed by TFIL to its step-down wholly owned subsidiary, Telluric Foods Limited (TFL), which operates in the food business through e-commerce and trade channels. The money will be used to support brand building and working capital requirements for FY 2026-27. Both transactions are classified as related party transactions and are conducted at arm's length. TFL posted a turnover of Rs. 400.62 lakh in FY26, down from Rs. 566.56 lakh in FY25.
This is an internal capital infusion into a subsidiary to support growth and operations. It does not involve acquiring any new external business or listed entity, so it is unlikely to have a direct material impact on the parent company's stock in the short term.
