Adinath Textiles Ltd has informed BSE that it is exempt from related party transaction disclosure requirements under Regulation 23(9) of SEBI LODR Regulations. The company qualifies for exemption because its paid-up equity share capital (Rs. 681.44 Lac) and net worth (Rs. 302.18 Lac) as of 31 March 2026 both fall below the thresholds of Rs. 10 crore and Rs. 25 crore respectively, as specified under Regulation 15(2). Consequently, the company is not required to submit a Related Party Transaction Report for the half year ended 31 March 2026. A certificate from a Practicing Company Secretary has been enclosed confirming the figures. The company has committed to comply with these regulations within six months if it crosses the threshold limits in future.
The exemption has no immediate impact on shareholders as the company remains small-cap with limited corporate governance reporting requirements. Investors should note that once the company crosses the Rs. 10 crore capital or Rs. 25 crore net worth threshold, it will need to comply with stricter related party transaction disclosure norms.
