Aditya Birla Capital Limited has announced the results of its Postal Ballot concluded on 20 June 2025, with shareholders approving all five special resolutions. Two of these are the appointments of Mr. Nagesh Pinge and Mr. Sunil Srivastav as Independent Directors for five-year terms effective 1 April 2025. The remaining three resolutions clear the way for raising additional debt — increasing the company's borrowing limits, creating charges on company assets as security, and issuing Non-Convertible Debentures on a private placement basis. Shareholder participation was strong, with roughly 83.24% of outstanding shares (about 217 crore shares) voting. All resolutions passed with overwhelming support, with approval ranging from 99.28% to 99.98% in favour. The promoter group (holding around 179.5 crore shares) voted 100% in favour of every resolution. The e-voting process was conducted by KFin Technologies and scrutinised by Mr. Omkar Dindorkar of MMJB & Associates LLP.
Shareholders have formally cleared two new Independent Director appointments and given the company a much larger headroom to raise fresh debt and issue NCDs. This gives Aditya Birla Capital more flexibility to fund growth, but also signals that the company may be preparing to take on additional borrowings. For shareholders, the event is largely procedural and is unlikely to move the stock on its own.
