Aditya Birla Real Estate Ltd has received BSE in-principle approval to amend the Debenture Trust Deed for its 8.05% unsecured, listed, senior, redeemable, non-convertible debentures aggregating to Rs. 250 crore (25,000 NCDs of Rs. 1 lakh each, ISIN: INE055A08045). Two changes are being made: first, a Call Option sub-clause is being added under the Mandatory Redemption Event definition, giving the company the ability to trigger early redemption; second, the existing clause restricting the company from disposing assets valued above Rs. 200 crore is being deleted entirely. The company will now execute the Second Amendment Deed with the Debenture Trustee, SBICAP Trustee Company Limited, to formalise these changes. The BSE approval is valid for three months from January 13, 2026.
The changes give the company significantly more operational freedom by removing the asset disposal cap and adding an early redemption option, which could also mean debenture holders may face the risk of premature repayment. For shareholders, this signals improved financial flexibility for the company, though it slightly reduces some protective covenants for debenture holders.
