Aditya Birla Real Estate has modified a financial covenant in its Debenture Trust Deeds after receiving BSE in-principle approval. The change applies to 8.55% Unsecured, Listed, Redeemable, Non-Convertible Debentures worth Rs. 500 crores (Rs. 400 cr + Rs. 100 cr), issued in August and October 2024. The Net Debt to Equity ratio cap has been raised from 1.10x (standalone) to 1.5x (consolidated) till March 2026, and further to 1.75x from April 2026 onwards. The amendment was executed with Debenture Trustee SBICAP Trustee Company on December 4, 2025.
The relaxed debt-to-equity covenant gives the company more borrowing headroom, suggesting it may need higher leverage going forward. For shareholders, this is a mild negative signal as it indicates the company sought easier debt terms, but approval means debenture holders remain comfortable with credit risk.
