Aditya Ispat Ltd has executed a Business Transfer Agreement on March 31, 2026 to sell its manufacturing and trading of non-alloy steel business to Jai Bapji Ispat Private Limited, a promoter group company, on a going concern basis effective from March 1, 2026. The non-alloy steel business being divested contributed 97.75% of the company's turnover (INR 43.93 crores) and 88.85% of its net worth in FY 2024-25. The lump sum consideration is INR 3.68 crores, subject to working capital adjustments, with completion expected by June 30, 2026. The buyer is a very small entity with turnover of just INR 0.71 lakhs and net worth of INR 6.39 lakhs in FY 2024-25. Shareholders had already approved the transaction via postal ballot on March 29, 2026. The company cited sustained losses, high finance costs, declining margins, and adverse steel industry conditions as reasons for the divestiture.
This is a major event for shareholders — the company is selling off essentially its entire core operating business (97.75% of revenue) for a small lump sum of INR 3.68 crores. Post-completion, Aditya Ispat will be left with only the alloy steel trading business. Investors should expect significant questions about the future direction, valuation, and going concern status of the remaining entity.
