Advent Hotels International Limited has issued a postal ballot notice seeking shareholder approval for a Special Resolution to divest its entire 49% stake (9,89,800 Class A equity shares) in associate company Bamboo Hotel & Global Centre (Delhi) Pvt. Ltd. to Valor Estate Ltd (a related party) for approximately Rs. 596.70 crores at Rs. 6,028.54 per share. Additionally, the company will assign approximately Rs. 1,058.89 crores of outstanding loans given to Bamboo Hotel to Valor Estate. The combined consideration of about Rs. 1,655.59 crores will be adjusted against the existing Rs. 2,150.15 crores payable to Valor Estate, effectively reducing the company's related-party debt. Bamboo Hotel is developing a large hotel-cum-commercial complex (St. Regis and Marriott Marquis) at Aerocity, New Delhi. Remote e-voting runs from 21st March 2026 to 19th April 2026, with results due by 21st April 2026. Related parties, including certain directors who are also on Valor Estate's board, will abstain from voting.
If approved, the transaction will meaningfully cut the company's related-party payables (from Rs. 2,150 crores to roughly Rs. 495 crores), reduce balance-sheet risk tied to an under-construction project, and simplify the group structure ahead of its recent listing. However, since this is a material related-party transaction with overlapping directors and promoters, shareholders should weigh the governance aspects and independent valuation while voting.
