Aegis Vopak Terminals has signed a framework agreement with its promoter Aegis Logistics Limited (ALL) to acquire a greenfield terminal project called the 'J2 Project' at Jawaharlal Nehru Port (JNPA). The project includes 77,286 MT of LPG storage capacity, 318,100 cubic meters of liquid products storage, and an LPG bottling plant with 35,000 MT per annum capacity, which will be built and developed by Aegis Logistics. Aegis Vopak will pay ₹502.50 crore to Aegis Logistics upon execution of the framework agreement, with a separate asset transfer agreement to follow after project completion. Since Aegis Logistics is a promoter of the company, this qualifies as a related party transaction, though the company has stated it is being done on an arm's length basis.
This is a capacity-expanding acquisition that strengthens the company's storage and bottling infrastructure at a key port, which is positive for long-term growth. However, the ₹502.50 crore cash outlay is a significant capital deployment from a related party, so shareholders should watch execution timelines and post-completion returns on this investment.
