Agro Phos India Limited is selling part of its stake in Shri Tulsi Phosphate Limited, bringing its holding down from 27.49% to 19.51%. As a result, Shri Tulsi Phosphate will cease to be an associate company of Agro Phos. The company is selling 5,20,000 equity shares at Rs. 14.70 per share, for a total consideration of Rs. 76,44,000. The buyer is Mr. Raj Kumar Gupta, a promoter of Agro Phos India Limited, making this a related party transaction carried out at arm's length. Shri Tulsi Phosphate had reported a loss of Rs. 21.82 lakhs and had a net worth of Rs. 249.11 lakhs as on 31 March 2025.
Shareholders should note that Agro Phos is divesting a loss-making associate and that the stake is being bought by its own promoter at an arm's length price, which may raise minor corporate governance questions. The financial impact is small, with the consideration of about Rs. 76 lakhs being a modest amount relative to the company's operations.
