Ajcon Global Services reported audited results for FY25 and Q4 FY25, both standalone and consolidated. Standalone full-year revenue grew modestly to Rs. 1,561.27 lakhs (vs Rs. 1,494.74 lakhs in FY24), but PAT fell sharply to Rs. 37.40 lakhs from Rs. 104.29 lakhs, a ~64% decline. Q4 standalone turned into a loss of Rs. 75.63 lakhs against a profit of Rs. 9.13 lakhs in Q4 FY24. Consolidated full-year PAT dropped to Rs. 54.27 lakhs from Rs. 125.24 lakhs, with Q4 also swinging to a loss of Rs. 77.34 lakhs. The statutory auditor (D.H. Bhatter & Co.) issued an unmodified (clean) opinion. During the quarter, the company issued 10 lakh convertible warrants at Rs. 66 each to non-promoters on a preferential basis. The board also approved the appointment of a new secretarial auditor, re-appointment of the internal auditor, and re-appointment of Mr. Ashok Ajmera as Managing Director for 3 years from April 2026.
Sharp fall in profitability and a Q4 loss despite revenue growth signals margin compression and weak operational performance, which is negative for shareholders. The clean audit opinion and governance-related approvals (auditor and MD re-appointments) are routine and offer no positive catalyst on their own.
