Algoquant Fintech Limited has notified the BSE about its 62nd Annual General Meeting scheduled for Monday, September 29, 2025 at 4:00 PM via video conferencing. Ordinary business items include adoption of audited financial statements for FY ended March 31, 2025, and re-appointment of Mr. Himanjal Jagdishchandra Brahmbhatt (DIN:00049679), who retires by rotation. Special business proposes wide-ranging financial powers, including a Rs. 1,000 Crore ceiling on loans, investments and guarantees (Section 186), a Rs. 1,000 Crore limit on creating charge/mortgage on assets (Section 180(1)(a)), and raising overall borrowings up to Rs. 1,000 Crores over and above paid-up capital and free reserves (Section 180(1)(c)). M/s Parth P Shah & Associates is proposed as Secretarial Auditor for a 5-year term (FY 2025-26 to FY 2029-30). Additionally, eight material related party transactions are being put to shareholder approval, including Rs. 400 Crores with Algoquant Financials LLP, Rs. 501.25 Crores each with promoter Dhruv Gupta and promoter Devansh Gupta, Rs. 80 Crores with Growth Securities and Devansh Real Estate, Rs. 100 Crores with Vardan Securities, Rs. 77 Crores with Dhruv Devansh Investment and Finance LLP, and Rs. 50.30 Crores with Nirmal Buildwell Real Estate LLP.
Shareholders are being asked to approve very large borrowings and related-party transaction limits (collectively ~Rs. 1,000 Crores in corporate powers and roughly ~Rs. 1,800 Crores in RPT authorisations) heavily concentrated with promoter-group entities, which raises governance scrutiny but provides the board flexibility to fund growth; minority shareholders should review the explanatory statement carefully and watch for any related-party pricing concerns at the AGM.
