Algoquant Fintech's board, at its meeting on July 3, 2025, approved a major capital restructuring. The authorised share capital will be raised from Rs. 3.5 crore to Rs. 30 crore. Each equity share of face value Rs. 2 will be sub-divided into 2 shares of Rs. 1 each (1:2 split), making shares more affordable and improving liquidity. Additionally, the company will issue bonus shares in an 8:1 ratio — 8 new Rs. 1 shares for every 1 held — totalling about 24.98 crore bonus shares. The bonus will be funded from free reserves of Rs. 98.67 crore as on March 31, 2025. Articles of Association are being amended to enable the bonus issue. All proposals are subject to shareholder approval via postal ballot, expected to be completed within 2 months.
Effective 18-for-1 expansion of share count for existing holders (1 share becomes 2 after split, then 8 bonus shares added). Liquidity and retail participation should improve post-split, but short-term share price typically adjusts downward to reflect dilution. Pending shareholder approval via postal ballot.
