The NCLT Mumbai Bench, via its order dated October 10, 2025, has sanctioned the Composite Scheme of Arrangement and Amalgamation involving Allcargo Supply Chain (ASCPL), Gati Express and Supply Chain (GESCPL), Allcargo Gati Limited (AGL), and Allcargo Logistics Limited (ACL). The company filed Form INC-28 with the Registrar of Companies, Mumbai, on November 1, 2025, making the scheme effective from that date. As a result, Allcargo Gati Limited has been amalgamated into Allcargo Logistics Limited and has ceased to exist as a separate legal entity. AGL's results will now be consolidated into ACL's financials. The Board Meeting scheduled for November 5, 2025, to approve Q2 FY26 results has been cancelled, since AGL is no longer a separate listed entity.
Allcargo Gati Limited shareholders now hold shares in the merged Allcargo Logistics Limited entity; the ACLGATI stock ceases to exist separately. Existing shareholders should have received or will receive shares of Allcargo Logistics Limited in the agreed swap ratio — the delisting of AGL effectively shifts investor exposure to the larger Allcargo Logistics parent.
