Almondz Global Securities' board, at its meeting on February 25, 2026, approved two fund-raising actions. First, it will issue up to 1,50,78,408 equity shares at Rs. 16.58 each (face value Rs. 1, premium Rs. 15.58), totalling about Rs. 25 crore, to promoter Avonmore Capital & Management Services Limited by converting an existing unsecured loan into equity. Post-issue, the promoter's stake will rise from 50.34% to 54.30%. Second, the board approved a preferential issue of up to 80,00,000 convertible warrants at Rs. 16.58 each, aggregating up to Rs. 13.26 crore, to non-promoter Mrs. Nandakumar Padma, whose holding could rise from 0.005% to 4.07% on full conversion. Each warrant is convertible into one equity share within 18 months, with 25% payable upfront and 75% on conversion. Both proposals are subject to shareholder and stock exchange approvals.
The promoter loan conversion strengthens equity and reduces liabilities but increases the promoter's already controlling stake. The warrant issue dilutes existing shareholders by roughly 4% on full conversion, while bringing in fresh capital from a non-promoter investor, which could be mildly positive if the funds are deployed productively.
