Alps Industries has filed its annual results with a qualified audit opinion. The auditor flagged that the company has not provisioned for ~Rs. 2,129 crore in interest and waived principal related to a debt restructuring scheme that lenders revoked long ago. If provisioned, the standalone net loss would balloon from Rs. 64 crore to Rs. 2,193 crore and net worth would swing from negative Rs. 894 crore to negative Rs. 3,023 crore. The company is already under Corporate Insolvency Resolution Process (CIRP) — NCLT Allahabad admitted Edelweiss ARC's Section 7 petition on September 13, 2024, declared a moratorium, and appointed a Resolution Professional. Edelweiss holds over 99% of the secured debt and has filed a claim of about Rs. 6,119 crore. The Board of Directors' powers are suspended. Resolution plans from prospective applicants have been submitted to the Committee of Creditors for approval.
This is a very high-risk situation for existing shareholders. The stock is essentially in zombie territory — under insolvency, with a suspended board, a massive unprovided debt, and a deeply negative net worth. Any value recovery depends entirely on the resolution plan approved by NCLT; in most IBC cases, equity shareholders are wiped out or receive only a nominal share in the reconstituted entity.
