Pursuant to Regulation 30 of the SEBI LODR Regulations, we hereby inform the exchange that the Company, has entered into Share Purchase Agreement on 03 April 2026 for acquisition of the remaining 50% equity stake in Amber Resojet Private Limited ('Amber Resojet').Consequent to this acquisition, Amber Resojet will cease as Joint Venture and will become a wholly owned subsidiary of the Company.

Amber Enterprises India Limited has signed a Share Purchase Agreement on 3 April 2026 to buy the remaining 50% equity stake in its joint venture Amber Resojet Private Limited from LCGC Resolute Appliances LLP for approximately INR 1.74 Crore in cash. Amber Resojet manufactures fully automatic top-loading and front-loading washing machines and its turnover grew sharply from about INR 13.33 Crore in FY24 to about INR 36.91 Crore in FY25. Once the deal closes (expected within 30-45 days), Amber Resojet will cease to be a joint venture and become a 100% wholly owned subsidiary of Amber, giving it full board control. The acquisition is classified as a related party transaction since Amber and LCGC are related parties, but the company states it is being done at arm's length, and no government or regulatory approvals are needed.
The deal size is small financially, but it gives Amber full ownership and strategic control over a fast-growing washing machine business, allowing full revenue and profit consolidation going forward.
