Ambuja Cements Limited has announced the results of a postal ballot conducted between March 3 and April 1, 2026. Shareholders approved two ordinary resolutions with an overwhelming 99.99% majority. The first resolution approves material related party transactions with ACC Limited for FY 2026-27, and the second approves similar transactions with Orient Cement Limited for FY 2026-27. A total of 1,819 shareholders participated in the e-voting, representing 573.1 million shares or 23.20% of the total paid-up equity capital. Resolution 1 received 573.05 million votes in favor against just 61,464 votes against, while Resolution 2 received 573.05 million favorable votes against 61,698 dissenting votes. The scrutinizer, Mr. Chirag Shah from Chirag Shah and Associates, confirmed both resolutions passed as ordinary resolutions.
The approval of material related party transactions with ACC Limited and Orient Cement Limited for FY 2026-27 has been secured with near-unanimous shareholder support. This clears the path for these related party transactions to proceed in the upcoming financial year. The strong promoter support (572.48 million shares, 100% in favor) drove the outcome, with minimal dissent from public shareholders.
