The Board of Directors of Amco India Limited, at a meeting held on 22 August 2025, approved the adoption of a new set of Articles of Association to replace the existing one. The current AOA is based on the old Companies Act, 1956 and is no longer in line with the current Companies Act, 2013 and SEBI regulations. The new AOA restructures provisions, updates references to amended sections, excludes Table-F model articles, and includes provisions allowing the company to perform certain acts as authorised. The change is subject to approval from shareholders at the upcoming Annual General Meeting. The filing also notes the changes are partly necessitated by a takeover by new management.
This is a routine corporate governance housekeeping update with no direct impact on financials or shareholder value. Shareholders will get to vote on the new AOA at the AGM, but the changes are largely compliance-driven.
