AMS Polymers has called its 40th AGM for September 27, 2025. Key business on the agenda includes adopting FY25 audited results, re-appointing Director Anand Kumar, and filling the casual vacancy left by statutory auditor M/s KVA & Co, which resigned after its peer review certificate expired in June 2025. M/s Roshan Agarwal & Associates is proposed as the replacement statutory auditor for a one-year term. The company is also seeking shareholder approval for related party transactions worth up to Rs. 160 Crores per annum with three related entities (Annu Industries up to Rs. 100 Cr, AMS Specialities up to Rs. 50 Cr, Shreshtha Securities up to Rs. 10 Cr), and for empowering the board to borrow up to Rs. 20 Crores. The MD's remuneration is being revised from NIL to up to Rs. 60 Lakhs per annum. For FY25, net sales rose to about Rs. 101 Crores from Rs. 83.7 Crores, while profit after tax improved to Rs. 77 Lakhs from Rs. 60.8 Lakhs.
This is a routine AGM notice, but shareholders should note the large aggregate related party transaction limit (Rs. 160 Cr) which exceeds the company's own turnover, and the increase in MD remuneration. The auditor change appears compliance-driven rather than performance-related. No dividend has been declared, which may disappoint income-focused investors.
