Starlite Components Limited, listed on BSE in the Z category, submitted its 34th Annual Report for FY 2024-25. The company remains under the Corporate Insolvency Resolution Process (CIRP) since January 2020, with the Resolution Professional managing its affairs instead of the Board. The NCLT approved the resolution plan from Solar Copyer Limited on March 14, 2024, but its implementation has been delayed. Revenue from operations rose sharply to Rs 475.43 lakhs from Rs 313.40 lakhs in FY 2023-24, growth of roughly 52%. However, the company swung to a loss after tax of Rs 5.59 lakhs, compared to a profit of Rs 1,035.97 lakhs last year, which was boosted by the one-time effect of the resolution plan approval. No dividend was declared. The statutory auditor flagged material weakness in internal financial controls, and the secretarial auditor reported several non-compliances including no Whole-Time Company Secretary, un-constituted key board committees, a non-updated website, non-compliance with insider trading rules, and a BSE freeze on promoter shareholding.
Shareholders should be aware that the company is still financially distressed, under insolvency proceedings with a delayed resolution plan, and is showing a loss after tax for the year despite higher revenue. The multiple compliance failures, frozen promoter shares, and material weaknesses in internal controls suggest elevated risk and limited operational clarity for investors.
