Bharat Textiles & Proofing Industries Ltd has submitted its Annual Report for FY 2024-25 and issued notice for its 35th AGM on September 30, 2025. The company, which manufactures technical textiles like canvas, PVC-coated tarpaulins, and digital printable fabrics, reported total income of Rs. 1,671.21 lakhs (down from Rs. 1,751 lakhs in FY24). Despite lower revenue, net profit rose to Rs. 26.25 lakhs from Rs. 13.86 lakhs, helped by tax adjustments, while operating EBITDA fell to Rs. 140.25 lakhs from Rs. 152.34 lakhs. EPS improved to Rs. 0.45 from Rs. 0.24. No dividend was declared, and shareholders will be asked to approve Rs. 15 crore of material related party transactions and raise borrowing limits to Rs. 50 crore under Section 180(1)(c). The Secretarial Auditor flagged several compliance lapses, including unpaid BSE listing fees for five years, promoter shares not in demat form, delays in shareholding pattern filings, and absence of shareholder approval for earlier borrowings.
For shareholders, the mixed picture shows shrinking top line but rising bottom line on tax effects, no dividend, and a plan to expand borrowing capacity, which signals growth ambitions but also rising leverage risk. Multiple compliance defaults and pending BSE listing fee arrears could draw regulatory scrutiny and pose a continued listing risk.
