C & C Constructions Ltd has submitted its Annual Secretarial Compliance Report for the financial year ended March 31, 2025, as required under SEBI's listing rules. The company was under the liquidation process from April 1, 2024 to December 27, 2024, after the NCLT ordered its liquidation in October 2022. On December 27, 2024, M/s RKC Constructions acquired the company as a going concern through an e-auction, and a reconstituted board took charge from December 28, 2024. During the liquidation period, several non-compliances occurred, including delayed filing of quarterly financial results for June and September 2024, no record of board/committee meetings, absence of a qualified compliance officer, non-filing of the FY 2024 Annual Secretarial Compliance Report, and no Structured Digital Database (SDD) in place. The reconstituted board has since filed the December 2024 quarterly results, prepared the March 2025 results, appointed a qualified company secretary as compliance officer, engaged a practicing company secretary for secretarial audit, and is in the process of setting up the SDD.
Shareholders should note significant past regulatory non-compliances that arose during the company's liquidation phase, though the new management under RKC Constructions is actively working to regularise compliance. The clean-up process is ongoing, but the company remains in revival mode with key filings, governance structures, and systems being put back in place, which should reduce regulatory risk going forward.
