JTL Defence Ltd (formerly RCI Industries & Technologies Ltd) submitted its Annual Secretarial Compliance Report for FY 2025-26, reviewed by Practicing Company Secretary Rajeev Bhambri & Associates. The company largely complied with applicable SEBI regulations but flagged three deviations: (1) delay in disclosing record date for equity capital reduction (BSE fine Rs 11,800 + GST), (2) issuing equity shares via preferential allotment without obtaining prior in-principle approval from BSE (fine Rs 50,000 + GST), and (3) delay in paying Annual Listing Fees for FY 2025-26, incurring interest (total Rs 42,185). All fines were paid by the company.
