Indian Overseas Bank (IOB) submitted its Annual Secretarial Compliance Report for FY2024-25, prepared by Srinidhi Sridharan & Associates, as required under SEBI LODR regulations. The report flags multiple board-level compliance gaps: absence of a woman independent director throughout the year, a delayed intimation of an investor meeting (held July 22, 2024, intimated July 18, 2024), and a prolonged vacancy after independent directors' tenure ended on December 20, 2024. As a result, the Board, Audit Committee, Nomination & Remuneration Committee, and Risk Management Committee were not properly constituted for periods ranging from December 21, 2024 to March 31, 2025. Additionally, no NRC meetings were held in FY2023-24, prompting a SEBI warning notice dated February 18, 2025. The bank attributed all director-appointment issues to delays by the Department of Financial Services, Government of India, and stated the committees have since been reconstituted in March–April 2025.
While the compliance lapses are administrative and largely outside the bank's control (government-appointed directors), persistent governance gaps and SEBI caution notices may raise corporate governance concerns among investors. The board was reconstituted in April 2025, which should address the immediate issue, but shareholders should monitor whether director appointments stay timely going forward.
