Annual Secretarial Compliance Report For the Year Ended 31st March, 2025
Awaiting price reaction for this filing.
Birla Cotsyn (India) Ltd has filed its Annual Secretarial Compliance Report for FY25 with BSE, covering the period from April 2024 to March 2025. The company was admitted into Corporate Insolvency Resolution Process (CIRP) under IBC in November 2018, and NCLT ordered its liquidation in September 2019, during which its board was suspended. However, on January 9, 2025, NCLT approved a composite Scheme of Compromise and Arrangement, potentially marking a revival path. Due to the suspended board during the review period, the Practicing Company Secretary flagged multiple non-compliances including no functional website, no policies under SEBI, no secretarial standards compliance, no insider trading compliance, and no disclosure under Regulation 30. BSE imposed total fines of Rs 17.38 lakh for delayed filing of investor complaints (Rs 1.90 lakh), non-filing of the previous year's Annual Secretarial Compliance Certificate (Rs 9.18 lakh), and delayed shareholding pattern submission (Rs 6.30 lakh), for which the company has filed waiver applications.
The NCLT-approved Scheme of Compromise is a positive development suggesting possible corporate revival, but the company's stock remains under stress signals due to its liquidation history and accumulated regulatory penalties. Investors should monitor the resolution plan execution and BSE's response to the waiver applications filed in September 2025.
