Antarctica Limited's Board of Directors has approved a proposal to increase the company's Authorised Share Capital from Rs. 67 crore to Rs. 87 crore — an addition of Rs. 20 crore. The increase will be implemented by creating an additional 20 crore equity shares of Rs. 1 each. This amendment to Clause V (Capital Clause) of the Memorandum of Association is subject to approval by shareholders through a Postal Ballot. The company has informed NSE under Regulation 30 of the SEBI Listing Regulations and filed the detailed comparison of existing vs. proposed capital clauses as Annexure B.
The capital increase creates headroom for the company to issue new equity shares in the future — potentially for fund raising, acquisitions, or other corporate purposes — which could lead to shareholder dilution. The Postal Ballot approval is a formality since this is a standard governance action.
