Anupam Rasayan India Ltd has allotted 16,000 secured, rated, unlisted and redeemable non-convertible debentures (NCDs) worth INR 160 crore to Aditya Birla Capital Limited on a private placement basis. Each NCD has a face value of INR 1 lakh with a coupon rate of 10.25% per annum. The tenure is 13 months from allotment date (26 May 2026), maturing on 26 June 2027. Partial redemption of INR 99,500 per debenture is due on 21 September 2026, with final redemption of INR 500 per debenture on maturity. The debentures are secured by a first ranking pledge over 31.5 lakh shares held by promoter Mr. Anand Sureshbhai Desai and a charge over designated bank accounts. Proceeds will be used for repayment of existing debt, investment in group companies, and general corporate purposes.
The company is raising INR 160 crore through debt to refinance existing obligations. The 10.25% coupon rate is elevated, indicating higher borrowing costs or credit risk concerns. Promoter share pledge provides security to debenture holders. Shareholders should note increased debt levels and interest burden.
