Anupam Rasayan India Limited has allotted 16,000 secured, rated, unlisted, redeemable non-convertible debentures (NCDs) to Aditya Birla Capital Limited at par value of INR 1,00,000 each, totaling INR 160 crore. The NCDs carry a coupon rate of 10.25% per annum and have a tenure of 13 months (maturing on 26 June 2027). Partial redemption of INR 99,500 per debenture is due on 21 September 2026, with the remaining INR 500 due at maturity. The debentures are secured by a first-ranking pledge over 31.5 lakh shares held by promoter Mr. Anand Sureshbhai Desai and a charge over specified bank accounts. The proceeds will be used for repayment of existing debt, investment in group companies, and general corporate purposes.
The issuance allows the company to raise INR 160 crore through private placement for debt refinancing and growth purposes. The 10.25% coupon rate indicates borrowing costs in line with current market rates. The use of promoter share pledge as security provides comfort to debenture holders. Shareholders should note that this is debt financing, not equity dilution.
