Anupam Rasayan India Limited's board has approved the acquisition of up to 74.20% stake in Bliss GVS Pharma Limited, a listed pharmaceutical company. The transaction involves two parts: (1) an off-market share purchase agreement for 43.30% stake (4.58 crore shares) at Rs. 299 per share totaling Rs. 1,369.51 crore, with an option to acquire another 4.90% stake later; and (2) a mandatory open offer to public shareholders for 26% stake at Rs. 299 per share totaling Rs. 829.03 crore. Bliss GVS Pharma has consolidated turnover of Rs. 1,000.64 crore (FY26) and net worth of Rs. 1,231.76 crore, with a global footprint across 60+ countries, dominant in Sub-Saharan Africa. The acquisition aims to strengthen Anupam's presence across the pharmaceutical value chain from KSMs to finished dosage formulations. No regulatory approvals are required for the SPA, and completion is expected within 6 months.
The acquisition will give Anupam Rasayan control over a pharma manufacturer with established capabilities in niche dosage forms and international presence.
