Anupam Rasayan India Limited shareholders approved two resolutions via postal ballot. First, an Ordinary Resolution passed with 99.94% votes in favor (approximately 83.9 million votes) to authorize guarantees and security interests for credit facilities of its wholly-owned subsidiary Doriath S.a.r.l. in the event it ceases to be a subsidiary. Second, a Special Resolution also passed with 99.94% approval to permit creation of security interests over assets and shares of Doriath S.a.r.l. and Jayhawk Fine Chemicals Corporation (expected to be material subsidiaries) to secure Doriath's credit facility from Altis XII Pte. Ltd., a Singapore-based lender. Total voter turnout was 73.74% of outstanding shares.
Both resolutions allow the company to support subsidiary financing with parent guarantees and asset-backed security, which could increase contingent liabilities for shareholders but also facilitates subsidiary growth and acquisitions.
