Anupam Rasayan India Limited has approved a major acquisition of up to 74.20% stake in Bliss GVS Pharma Limited. The deal involves direct purchase of 43.30% stake (4.58 crore shares) at Rs. 299/share from sellers worth Rs. 1,369.51 crore, plus a mandatory open offer to public shareholders for 26% at the same price worth Rs. 829.03 crore. An additional 4.90% option shares may be acquired later. Target Bliss GVS Pharma is a listed pharmaceutical company with FY26 consolidated turnover of Rs. 1,000.64 crore, net worth of Rs. 1,231.76 crore, and presence in 60+ countries with dominance in Sub-Saharan Africa. The acquisition is entirely cash-funded and not a related party transaction.
This acquisition will give Anupam Rasayan control over a major pharmaceutical formulations company with global reach, enabling forward integration from its existing chemistry capabilities. Shareholders may see positive sentiment due to diversification into finished dosage forms and international markets, though the large cash outflow (~Rs. 2,200 crore) could impact near-term balance sheet.
