Anzen India Energy Yield Plus Trust has signed share purchase agreements to acquire 74% shareholding and management control in 12 solar power special purpose vehicles (SPVs) from its Sponsor (Edelweiss Infrastructure Yield Plus) and Sponsor Group (SEPL Energy Private Limited). The 12 SPVs together own about 816 MWp of operational solar projects spread across Andhra Pradesh, Rajasthan, Uttar Pradesh, Punjab, and Telangana, with an average operational life of around 8 years and long-term 25-year power purchase agreements with NTPC, SECI, and state utilities at a weighted average tariff of ₹4.34 per unit. The base enterprise value is up to ₹3,300 crore, with a maximum of ₹3,600 crore after closing adjustments, payable entirely in cash. The deal is a related-party transaction executed at arm's length and is subject to unitholder approval and other regulatory clearances.
If completed, this acquisition meaningfully expands Anzen's solar portfolio by ~816 MWp, which should support more stable and potentially higher distributions to unitholders over the long term. For unit holders, the key near-term watchpoint is the unitholder vote and final deal price, while the related-party nature means scrutiny on the valuation and arm's-length pricing is warranted.
