Anzen India Energy Yield Plus Trust, a listed Infrastructure Investment Trust (InvIT), has submitted a full valuation report for its proposed acquisition of a 74% stake in 12 solar special purpose vehicles (SPVs) from Edelweiss Infrastructure Yield Plus (EIYP) and its affiliates, under a Right of First Offer (ROFO) agreement signed in November 2022. The combined fair enterprise value of the 12 SPVs, as on September 30, 2025, has been assessed at approximately ₹34,054 million using the Discounted Cash Flow method by registered valuer CA Jayeshkumar Shah. The SPVs collectively hold about 815 MWp of solar capacity spread across Rajasthan, Punjab, Telangana, Andhra Pradesh, and Uttar Pradesh, with long-term Power Purchase Agreements (PPAs) of 25 years with counterparties such as NTPC Vidyut Vyapar Nigam and SECI. This is classified as a related party transaction under SEBI InvIT Regulations since EIYP is the sponsor group, and unitholder approval will be required before completion.
If completed, this acquisition will significantly expand the InvIT's portfolio from 3 existing SPVs (2 transmission and 1 solar) to 15 SPVs, boosting its solar energy footprint and potentially future distributions to unitholders. Being a related-party deal, unitholders should watch for the final acquisition price versus the valuation, approval process timelines, and any resulting increase in debt or unit issuance that could affect yields.
