At its 43rd Annual General Meeting held on September 30, 2025, shareholders of Apis India Ltd approved the adoption of a new set of Memorandum of Association (MOA) and Articles of Association (AOA). The existing MOA and AOA were originally framed under the old Companies Act, 1956 and have now been realigned with the provisions of the Companies Act, 2013 and Table A of Schedule I. The object clause was expanded to include a broad range of food-related activities such as manufacturing, processing, packaging, bottling, trading, importing, exporting, and distributing products like honey, dates, saffron, pickles, jams, sauces, spices, and other agro-based or organic food items. The new scope also covers setting up food processing units, cold storage, warehouses, logistics centres, retail stores, franchises, and e-commerce platforms. The liability clause and ancillary objects were also restated to match current legal requirements.
Primarily a legal housekeeping exercise to bring the company's governing documents in line with current law, but the significantly expanded object clause gives management much wider operational flexibility, including entry into food processing, e-commerce, franchising, and exports — areas the company could tap into in the future.
