The Board recommended a final dividend of Rs 2.50 per share, making total FY26 dividend Rs 6.00 per share (including Rs 3.50 interim). Ms. Lakshmi Puri is being re-appointed as Independent Director for a second 5-year term from October 29, 2026, subject to shareholder approval. The company also appointed BBS Associates as Cost Auditor for FY27. Exceptional items of Rs 10,001 million include restructuring costs for the Enschede, Netherlands plant closure.
Strong financial performance with near tripling of standalone PAT and increased dividend payout is positive for shareholders. The Netherlands plant closure costs are substantial but were already anticipated. The director re-appointment maintains board continuity and governance stability.
