JTL Defence Ltd (filed as RCI Industries & Technologies Ltd) announced a sweeping board overhaul at its January 6, 2026 meeting. Two directors resigned: Whole-time Director Mr. Madan Mohan and Non-Executive Director and Chairperson Mr. Rakesh Garg, both citing personal reasons. Four new directors were appointed, including Mr. Dhruv Singla as new Executive Chairperson for a 5-year term — notably, he is the cousin of existing Managing Director Mr. Pranav Singla. Three new Independent Directors were also added. Additionally, Mr. Naveen Kumar Laroiya was appointed as the new Chief Financial Officer (CFO), and Mr. Ankit Singla replaced Ms. Sarika Kaur as the new Company Secretary and Compliance Officer. The company also appointed new Cost Auditors and Secretarial Auditors, and reconstituted all key board committees with the new independent directors.
This is a significant governance shake-up with family influence on the board increasing — the new Chairperson is a relative of the Managing Director. While the addition of experienced independent directors (including a retired defense Colonel) and a seasoned CFO may strengthen oversight and strategic direction in the defense sector, the simultaneous exit of two senior directors and the entry of a promoter-family member as Chairperson may raise governance questions for shareholders.
