On September 2, 2025, GCCL Construction & Realities Ltd appointed three new directors to its board. Mrs. Binoti Shah (DIN: 07161243) was appointed as a Non-Executive Additional Director; she is the wife of existing director Mr. Amam Shah and has over 15 years of experience in administrative and managerial affairs. Mr. Vipul R Patel (DIN: 02286599), a Chartered Accountant with capital market expertise, was appointed as a Non-Executive Independent Director for a 5-year term. Mr. Apurva R Hathi (DIN: 03377374), a lawyer and capital market expert, was also appointed as a Non-Executive Independent Director for 5 years. Both independent directors are not related to any existing directors. All three appointments are subject to shareholder approval at the next Annual General Meeting.
The board gains new independent oversight with the addition of two professionals (a CA and a lawyer) experienced in capital markets, which may strengthen governance. However, the appointment of a director's spouse as a non-executive director reflects family involvement on the board, which shareholders may want to evaluate for board independence.
