Appointment of Indipendent Director - Mr. P Jagdish Rao.

Tata Communications has appointed Mr. P. Jagdish Rao (DIN: 01991594) as an Additional and Independent Director on its Board for a five-year term from June 13, 2025 to June 12, 2030, subject to shareholder approval. Mr. Rao, aged 65, brings over 35 years of experience from Citibank and Citigroup, where he served in senior roles including Chief Information Security Officer (CISO) and Chief Administrative Officer for Global Consumer Bank. He led major cost-saving initiatives such as cutting over $2 billion in IT costs and reducing Citigroup's global real estate footprint by more than 60%. He holds degrees from IIT Kharagpur and IIM Ahmedabad, and is a US citizen based in New York. He has no inter-se relationships with other directors and is not debarred from holding office by any authority.
