Aptus Pharma has sent out a Postal Ballot Notice to shareholders seeking approval for two key proposals. The first is to increase the authorised share capital from ₹7.15 crore (71.5 lakh shares) to ₹25 crore (2.5 crore shares of ₹10 each) to make room for future share issuances. The second is a bonus share issue in the ratio of 3:2, meaning shareholders will get 3 bonus equity shares for every 2 shares they currently hold, resulting in 1,02,90,000 new bonus shares funded through the securities premium account. E-voting will run from March 27, 2026 to April 25, 2026, with results expected within two working days after voting closes. The company is listed on BSE-SME and the bonus shares, if approved, will be allotted in dematerialised form.
If approved, existing shareholders will see their shareholding expand by 50% (1.5x increase) without any cost, though share price will adjust downward proportionally on the ex-bonus date. The move signals management's intent to reward shareholders and may improve liquidity, but it does not change the overall value of the company.
