Arcee Industries has revised its proposed preferential issue by removing Ms. Usha Garg (10,00,000 equity shares) from the list of allottees after she was found ineligible under SEBI rules. The revised issue size is ₹22.25 crore, comprising 2,15,00,000 convertible warrants to be allotted to 30 investors. The company also added Mukul Gupta (holding 1 pre-existing share) to the list and corrected a typographical error in the post-issue promoter shareholding percentage (from 0.05% to 4.74%). Post-allotment, promoter holding will fall sharply from 24.58% to 4.74%, while non-promoter holding will rise from 75.42% to 95.26%, indicating significant dilution of existing promoters.
Existing shareholders will face substantial dilution as promoter stake drops to under 5%. The removal of an ineligible allottee slightly reduces the issue size but does not change the broader dilution impact. The preferential issue to a large group of allottees signals promoter/promoter-group efforts to raise capital, though at the cost of significant ownership dilution for current public shareholders.
