The Board approved unaudited standalone and consolidated financial results for Q1 FY26 (quarter ended June 30, 2025). On a standalone basis, total revenue from operations fell to ₹5,003.56 Lacs from ₹7,134.01 Lacs a year ago, and net profit declined to ₹1,217.69 Lacs from ₹1,707.66 Lacs. Consolidated net profit came in at ₹1,270.25 Lacs versus ₹1,880.76 Lacs in the year-ago quarter, with basic EPS of ₹1.22. The Board also discussed raising funds through equity shares, QIP, or preferential allotment, setting up a sub-committee to evaluate proposals (final size and investors to be informed later). An Extra-Ordinary General Meeting has been called for July 31, 2025, via video conferencing to seek shareholder approvals, and the AGM date will be announced separately.
Weak Q1 numbers – revenue and profit down roughly 30% YoY on lower broking and fee income – could weigh on the stock in the near term. The proposed fund raise via equity, QIP, or preferential route raises the prospect of share dilution, which is another near-term overhang until pricing and quantum are disclosed.
